Important Notice
Welcome to the artificial intelligence application services provided by Shenzhen Weardu Technology Co., Ltd. This AI User Service Agreement (hereinafter "this Agreement") is entered into between you and Shenzhen Weardu Technology Co., Ltd. (hereinafter "we" or "the Company"), and sets out the rights and obligations relating to your use of the AI features and related services in the product named above.
Please read this Agreement carefully before agreeing to it, paying particular attention to the clauses that materially affect your interests, including those on the use of user content, the risks of AI output, suspension or termination of services, liability, and dispute resolution. We will draw your attention to these clauses prominently. If you have any questions, you may ask for an explanation through the contact details set out in this Agreement.
This Agreement takes effect between both parties once, having been able to read it, you actively tick the consent box, click to confirm, or otherwise expressly accept it. If you do not agree to this Agreement, please do not use services that require acceptance of this Agreement. Where the processing of personal information requires separate notice, consent, or separate consent, we will handle it in accordance with the law; your acceptance of this Agreement does not automatically substitute for it.
1. Scope and Definitions
1.1 "The Service" means the AI application features we provide to you through the applicable product, including those actually made available, such as intelligent Q&A, text processing, content generation, data analysis, knowledge bases, application management, or API calls. The specific features, supported devices, conditions of use, and scope of service are as shown on the product pages and in any valid order agreed between the parties. This clause does not mean that the product already offers every feature listed.
1.2 "Input" means the text, images, audio, video, files, instructions, and other materials you submit to use the Service. "Output" means the content generated or returned by the Service in response to Input. Input and Output are together referred to as "User Content".
1.3 "User" includes natural persons, legal persons, and unincorporated organizations that lawfully use the Service. Anyone accepting this Agreement on behalf of an organization must be duly authorized and act within the scope of that authorization.
1.4 This Agreement applies to general AI tool services. Where specific features, paid services, or enterprise services are subject to a separate agreement, we will provide it to you before activation. Special terms validly agreed between the parties take precedence for the matters they cover. Rules that have not been presented, notified, or consented to as required by law do not by themselves increase your obligations or diminish your lawful rights.
1.5 The processing of personal information in connection with the Service is governed by the Privacy Policy and any specific notices we provide to you. These documents should be easy to access and retain, and may not exclude the rights of users under the law.
2. Eligible Users and Account Management
2.1 The Service is intended primarily for adults for learning, creative work, office work, and general business assistance. Minors using the Service must also comply with Section 8 and any age restrictions lawfully specified for particular features. Features involving medical, financial, or other fields with specific access or usage requirements are subject to those additional requirements.
2.2 You should provide registration information that is true, accurate, and necessary for the features you actually use, and promptly update information that affects identity verification, service notices, or the performance of transactions. We will not ask for unnecessary personal information unrelated to the Service. Features that legally require real-name verification may be used only after that verification is completed.
2.3 You should keep your account, password, verification codes, and API keys secure, and must not rent, lend, or sell your account or help others circumvent identity, security, or billing controls. Enterprise member accounts authorized by the product and allocated by an administrator do not constitute unauthorized lending.
2.4 If you discover account impersonation, key leakage, or other anomalies, please contact us promptly. We will take reasonable protective measures after verifying the necessary information. Operations under your account are not automatically deemed to have been performed by you personally; liability for losses caused by abnormal use is determined according to the facts, each party's fault, and the law.
2.5 Enterprise administrators should manage members and resources within the scope of the organization's lawful authorization. The scope of data accessible to administrators, member permissions, and how data is handled after a member leaves the organization should be clearly communicated before the relevant features are enabled. Enterprise authorization does not relieve us of our legal obligations to protect personal information.
3. License and Commercial Use
3.1 Within the scope of this Agreement and the services you have purchased, we grant you a non-exclusive license to use the relevant software and features. You may use the Service for personal purposes or for the lawful business of your organization, and Output lawfully obtained may be used for personal creative work, work deliverables, or normal commercial purposes.
3.2 Commercial use does not relieve you of the obligation to respect third-party intellectual property, portrait rights, privacy, trade secrets, and other rights, nor of obligations relating to content verification, advertising compliance, and AI labeling. Where specific materials or third-party features carry additional usage restrictions, we will clearly inform you of their scope and conditions before you use them, and will not retroactively restrict authorized use through rules introduced later.
3.3 Without separate permission, you may not resell the Service, provide third parties with proxy access beyond the scope of your authorization, or copy the platform to create a substitute service. Using lawful Output to deliver works, materials, or other results to your clients does not in itself constitute reselling the platform service.
3.4 You may use the normal copy, download, export, and share features provided in the product. Official API calls and authorized automated operations are not subject to general anti-scraping clauses, but you must still comply with publicly stated reasonable rate limits, permission scopes, and security requirements.
3.5 Software updates should serve security maintenance and feature improvements. Where an update involves discontinuing important features, significant compatibility changes, or adjustments to paid service entitlements, we will give reasonable advance notice and provide the necessary transitional arrangements. Updates do not by themselves relieve us of service obligations we have committed to.
4. Rules of Conduct
4.1 You must not use the Service to commit illegal or criminal acts, infringe the rights of others, or endanger network security, including producing or disseminating content prohibited by laws and regulations; engaging in fraud, gambling, or terrorist activities; disclosing state secrets; infringing intellectual property, personal information rights, or trade secrets; or insulting, defaming, or unlawfully discriminating against others.
4.2 You must not upload materials you have no right to process, impersonate others, or process another person's likeness, voice, or other personal information without lawful authorization; nor may you use generated content to mislead the public, engage in false advertising, or harm the rights of minors. Before uploading enterprise documents, customer data, or similar content, you should confirm that you have the relevant processing rights and de-identify the data where necessary.
4.3 You must not attack or damage the system, spread malicious programs, steal accounts or data, circumvent billing, security measures, or reasonable access restrictions, or scan, penetration-test, or reverse-engineer the system beyond your authorization, except for acts permitted by law and security testing authorized by us.
4.4 You must not occupy resources through mass fake registrations, traffic inflation, malicious requests, or similar means, and must not scrape other users' non-public data or copy protected platform content in bulk without permission. This clause does not restrict you from lawfully accessing, copying, or exporting materials you are entitled to obtain.
4.5 We will take necessary measures in accordance with the law against illegal content and violations, and fulfil our content governance obligations. Our response will be proportionate to the nature and impact of the conduct, and we will provide notice and an opportunity to appeal in accordance with Section 10.
5. AI Output and Usage Risks
5.1 AI Output may contain errors, omissions, biases, outdated information, or fabricated content. Even when reference sources are provided, the accuracy of citations and conclusions is not guaranteed. You should verify Output as appropriate for your purpose and should not rely on it as the sole basis for major decisions.
5.2 General Output from the Service is not a substitute for professional medical, legal, financial, or other advice. Matters involving personal safety, disposal of property, or significant effects on individuals should be combined with professional judgement and necessary human review. The Service must not be used to circumvent qualification or procedural requirements in the relevant industries.
5.3 If you use web search or third-party information features, results may come from external sources, and the content and updates of those sources are the responsibility of the respective parties. We nonetheless remain legally responsible for our own provision of features, processing of information, and necessary handling, and will not disclaim all liability merely because information comes from a third party.
5.4 Statements of gifts, rewards, guarantees, or transactions appearing in general generated content do not by themselves constitute formal commitments of the Company. The Company's formal orders, campaign rules, confirmations by authorized customer service, or other representations that are legally binding on the Company are handled according to their actual content and the law, and do not automatically become invalid because they involve AI-generated elements.
5.5 We will take reasonable measures to improve output quality and service security. The above risk notices do not exclude our legal or contractual liability for service quality, error correction, and damages.
6. Labeling of AI-Generated Synthetic Content
6.1 For generated synthetic content that is legally required to be labeled, we apply explicit and implicit labels in accordance with applicable laws, regulations, and mandatory national standards. A label indicates that content is generated or synthesized; it is not a guarantee of the content's authenticity, accuracy, or ownership.
6.2 For the relevant features that have been made available, explicit labels are applied as follows: for text, a clearly perceptible notice such as "Content generated by AI" is shown at an appropriate position or in the interface; for images, a corresponding text or graphic notice is added at an appropriate position; for audio, a voice or rhythmic audio cue is added at an appropriate point, or a prominent notice is shown in the interface; for video, a notice is placed on the opening frame and at an appropriate position around the playback area. Virtual scenes and other formats are labeled according to the applicable standards. The specific style must not fall below the legally required level of perceptibility.
6.3 For files that are legally required to carry implicit labels, we record necessary information such as the generated-or-synthesized attribute, service provider information, and content identifier in the file metadata or other standards-compliant locations. Where downloading, copying, exporting, or API delivery is subject to labeling requirements, content or label information meeting those requirements will be provided.
6.4 When you publish or disseminate generated synthetic content, you should proactively declare that it is generated or synthesized as required by law and use the labeling features provided by the distribution platform. You must not maliciously delete, alter, forge, or conceal legally applied labels, or use improper labels to mislead the public.
6.5 Only where permitted by law and where the Service actually offers such a request feature may you request content without explicit labels. Before providing it, we will make clear your labeling obligations and usage responsibilities, and will retain relevant logs, including information about the recipient, for no less than six months as required by law. Implicit labels that must be retained by law will remain. Such a request does not relieve you of your legal obligations when further disseminating the content, nor does it transfer the liability we bear under the law.
7. User Content and Personal Information Protection
7.1 The rights that you or the relevant rights holders lawfully hold in Input are not transferred to us by your use of the Service. You must have a lawful basis for submitting and processing the relevant content. To perform the services you request, you permit us to process such content to the extent necessary.
7.2 As between the parties, any rights in Output that we lawfully hold and are able to dispose of belong to you, unless otherwise provided by law or subject to third-party rights restrictions that have been clearly brought to your attention. This clause does not guarantee that every Output constitutes a protected work, and does not grant third-party rights that do not belong to us. Different users may receive identical or similar Output, and you may not claim exclusive rights on that basis alone.
7.3 We hold the relevant rights in the software, technology, interface design, and brands lawfully owned by the Company. Rights in third-party models, software, materials, and open-source components belong to their respective owners. This clause does not affect your rights in User Content or uses permitted by law.
7.4 We will process Input, Output, and usage records only to the extent necessary to provide the Service, ensure security, and fulfil our legal obligations, and will take appropriate protective measures. Your acceptance of this Agreement does not give us an unrestricted license to use User Content.
7.5 If we intend to use your content for model training, product improvement, marketing, or public display beyond what is necessary to perform the Service, we will specify the purpose, scope, and processing rules in advance and obtain the required authorization or consent in accordance with the law. Authorization for training and authorization for public display are handled separately. Refusing non-essential authorization does not affect your use of basic services that do not depend on it.
7.6 De-identification or encryption alone does not amount to anonymization, and does not automatically remove requirements for the protection of personal information, intellectual property, or trade secrets. We will not expand processing purposes or avoid obtaining required authorization merely because data has been de-identified.
7.7 Through the Privacy Policy and specific notices, we explain the categories of personal information, purposes of use, retention periods, relevant recipients, how to exercise your rights, and our contact details. You may, in accordance with the law, request to access, copy, correct, supplement, or delete your personal information, or withdraw relevant consent. Personal information is retained for the shortest period necessary to achieve the purpose, unless otherwise required by law.
7.8 Where we call third-party models, search, storage, or other services, we will, to the extent required by law, explain the parties involved, the purposes of processing, the categories of data, and the methods used; distinguish between entrusted processing and provision to independent processors; and implement corresponding management measures. Where personal information is provided across borders, we will fulfil the applicable notice, consent, and other obligations in accordance with the law; this Agreement alone is not deemed to complete them.
7.9 Non-public business materials and trade secrets that you lawfully submit will be processed only for the performance of the Service, the fulfilment of legal obligations, or as otherwise validly authorized, and we will apply necessary access controls and confidentiality measures. De-identification by users does not relieve us of our protection obligations.
8. Protection of Minors
8.1 Minors should read this Agreement under the guidance of a guardian, and use the Service and conduct transactions within the limits of their age, civil capacity, and the restrictions of specific features. Guardians should provide reasonable guidance to prevent excessive reliance or addiction.
8.2 If we process the personal information of minors under the age of 14, we will obtain the consent of their parents or other guardians in accordance with the law, establish dedicated processing rules, and take corresponding protective measures. Where the necessary protection mechanisms are not in place, the relevant processing activities will not be offered.
8.3 Uploading materials containing a minor's information, likeness, or voice requires a lawful basis and the necessary authorization. Uploading or publishing alone does not authorize us to use such materials for promotion, public display, or model training.
8.4 Guardians may contact customer service to request a review of a minor's use of the Service, the processing of their personal information, and related transactions. We will handle such requests in accordance with the law after necessary verification. This Agreement does not exclude the rights that guardians and minors enjoy under the law.
9. Service Maintenance and Liability
9.1 We will provide the Service in accordance with the law and this Agreement, and take reasonable measures to keep it secure, stable, and continuously available. Where planned maintenance may affect your use, we will give reasonable advance notice. In the event of an unexpected failure, we will promptly investigate, mitigate the impact, and keep you informed of progress as circumstances allow.
9.2 Where we fail to provide paid services as agreed for reasons attributable to us, we will, depending on the extent of the impact and the actual circumstances, take measures such as repairing the issue, extending the service period, restoring quotas, or bearing corresponding liability in accordance with the law, and will not automatically disclaim liability on the grounds of "system maintenance".
9.3 Where performance is affected by force majeure, liability is determined according to the law and the actual impact. The affected party should give timely notice and take reasonable measures to mitigate losses. Whether hacker attacks, communication interruptions, supplier failures, and similar events constitute grounds for exemption is determined based on the specific facts and statutory conditions.
9.4 For services provided by independent third parties, we will indicate the service provider and applicable rules in an appropriate place, and each party bears its own liability in accordance with the law. Where a third party acts as our performance assistant or entrusted party, we are not thereby relieved of the liability we bear under the law and this Agreement.
9.5 Where one party's breach of contract or tort causes loss to the other party, the responsible party bears corresponding liability in accordance with the law. The scope of loss and amount of compensation are determined based on fault, causation, evidence of loss, and the law. Where both parties are at fault, liability is shared in accordance with the law.
9.6 This Agreement does not exclude or limit our liability for property damage caused to you by our intentional misconduct or gross negligence, does not exclude liability for personal injury caused to you, and does not exclude the rights that consumers enjoy under the law or any other liability that cannot be excluded by law. No risk notice shall be interpreted to the contrary.
10. Handling of Violations and Appeals
10.1 Where we discover a violation supported by evidence, we may, in accordance with the law and depending on the nature, severity, and impact of the conduct, take necessary measures such as issuing a warning and requiring correction, restricting specific features, suspending the Service, or deleting or blocking illegal content. In cases of serious breach or where required by law, we may terminate the Service.
10.2 Except where notification is prohibited by law or emergency action is required, we will inform you of the main reasons, basis, measures taken, and how to appeal. After emergency action, we will provide supplementary notice promptly where permitted by law and where conditions allow.
10.3 You may submit an appeal and supporting materials through customer service. We will not treat your inability to immediately explain abnormal data as a breach in itself, and will review the matter in light of the facts, evidence, and your explanation. Where a decision is verified to be wrong, we will promptly correct it and restore the corresponding rights.
10.4 Measures taken against associated accounts must have a reasonable factual basis and be limited to what is necessary to address the relevant risk. The lawful rights of unrelated accounts may not be indiscriminately removed merely because one account shows anomalies.
10.5 Where the Company suffers losses due to conduct for which you are legally responsible, the Company may claim compensation in accordance with the law, but will not pass on to you administrative penalties or other losses resulting from its own illegal acts or fault. In respect of third-party claims, both parties should cooperate reasonably in verification and response, and your liability will not be determined automatically by a settlement amount unilaterally accepted by the Company.
11. Account Cancellation and Termination of Service
11.1 You may apply to cancel your account through the cancellation feature in the product or the customer service channels set out in this Agreement. We will carry out the necessary identity verification and explain the conditions for cancellation, will not set unreasonable obstacles, and will not require the purchase of new services as a condition of cancellation.
11.2 Before cancellation, we will inform you of any effects on data access, tasks in progress, and outstanding orders; provide lawful and feasible ways to copy, export, or obtain your data; and deal with any unused paid entitlements. A notice that account data cannot be recovered does not mean you waive the rights you enjoy under the law.
11.3 You may terminate the Service in accordance with the law or this Agreement. Where the Company ends the Service due to serious breach, legal requirements, business termination, or similar reasons, it shall give notice and handle the aftermath in accordance with the law. If we plan to cease operations, we will announce it reasonably in advance, notify affected users, and provide a reasonable period for necessary data retrieval and settlement of outstanding matters.
11.4 After the Service ends, we will stop non-essential processing of User Content and personal information and delete or anonymize the relevant information in accordance with the law. Where retention is legally required or deletion is temporarily technically difficult, processing will be limited to necessary storage, security protection, and other processing permitted by law, and the information will be handled in accordance with the law when the retention period expires.
11.5 Termination does not affect lawful claims and liabilities that arose before termination, nor clauses on confidentiality, intellectual property, liability, and dispute resolution that remain in effect by law or by their nature.
12. Updates to this Agreement and Notices
12.1 When we update this Agreement for legitimate reasons such as changes in law or adjustments to features, we will display the updated content, publication date, and effective date. Changes affecting material rights such as fees, core features, or content authorization will be notified prominently and reasonably in advance, and will not retroactively deprive you of lawful rights you have already obtained.
12.2 Where renewed consent is required by law, we will obtain it again, and continued use alone will not be deemed acceptance. If you do not agree to a material change, you may stop using the relevant services and handle termination and related matters in accordance with the law and this Agreement; matters arising before the change takes effect are governed by the terms previously in effect.
12.3 Notices may be sent via in-product messages, pop-ups, email, or other valid contact details you have provided. For matters affecting material rights, reasonable and effective means of notice should be used; publication of a general announcement is not automatically equivalent to your actual knowledge of all its contents.

Either party may bring a lawsuit before a people's court with jurisdiction in accordance with the law.

Standard-form clauses are interpreted in accordance with the law, and the Company does not hold any unilateral final right of interpretation that excludes statutory rules of interpretation.
